How To Incorporating A Private Limited Company (Sdn. Bhd.) In Malaysia

STEP 1: PRE-REGISTRATION OF INCORPORATION

Before proceeding with Sdn. Bhd. registration in Malaysia, the following are the basic requirements to take into consideration:

1.1 Decide your business nature and business entity

When you have an idea on the business nature of your company, you should take into consideration on which business entity is suitable for your business nature.

1.2 Choosing a Company Name

Usually, after we have a brief meeting with our client, we will assist to conduct a name search of your company based on the information provided, and conduct a name check with the Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia) (CCM/ (SSM)). You can register the name with CCM after received the approval from CCM, the name will be reserved for 30 days from the date of approval. 

1.3 Decide on the appointment of the Company Directors, Shareholders and Company Secretary

Director
  • Minimum 1 Director who shall ordinarily reside in Malaysia by having a principal place of residence in Malaysia, no maximum required
  • Must be a natural person
  • Minimum aged 18 years old and above
Shareholder
  • Minimum 1 Shareholder and limited to 50 shareholders for Sdn. Bhd.
  • Can be individual investor (citizen or foreign investor) or corporate 
  • Individual shareholder must be aged 18 years old and above
Company Secretary
  • To appoint minimum one company secretary who is a member of any professional body or licensed by CCM.
  • (Notes: We provide 2 licensed Chartered Secretaries)

1.5 To have a registered office in Malaysia

Pursuant to the Companies Act 2016, a company is required to have a registered office address in Malaysia to receive all formal communications and notices may be addressed. The Registered office shall be open and accessible to public during ordinary business hour.

1.6 Paid up capital of the Company

The minimum paid up capital of the Company is RM1.00 only.

STEP 2: REGISTRATION PROCESS

Once Step 1 is completed, we are here ready to assist you to register your company with CCM.

For your information, after the name is approved by CCM, it will be reserved for 30 days from the date of approval, and it can be extended for another 30 days with a payment of RM50.00 payable to CCM.

The documents required to prepare are as follows:-

  1. Form Section 14 – super form, about the complete information of the company name, business nature, company directors, shareholders, business address and registered office address.
  2. To prepare the constitution of the company (optional)
  3. Declaration by a director or promoter before appointment
  4. Copy of the identity card/passport for every director and shareholder

STEP 3: POST REGISTRATION

After the company is successfully incorporated, you may proceed to open a bank account for your company and start running your business anytime from the date of incorporation.

  • To check with local authority on which business licenses is required for your business.
  • Business premises License. 
  • Employer’s obligation such as to register with employees provided fund (EPF), social security organisation (PERKESO), human resources development fund (HRDF). 
  • To appoint auditors and tax agents.
